1. Acceptance of Terms

By accessing or using the Aquila Connections website and services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our website or Services. We may update these Terms from time to time; the “Last updated” date at the top reflects the latest version. Your continued use after changes constitutes acceptance of the revised Terms.

2. Description of Services

Aquila Connections provides a platform that connects employers seeking workers with job seekers seeking employment opportunities. Our Services may include browsing job listings, submitting applications, submitting hiring requests, contact forms, and related communication and support. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. Eligibility

You must be at least 18 years of age and able to enter into a binding agreement to use our Services. By using our Services, you represent that you meet these requirements and that the information you provide is accurate and complete. We may refuse service, terminate accounts, or cancel placements at our discretion if we believe you have violated these Terms or applicable law.

4. User Conduct and Obligations

When using our Services, you agree to:

• Provide accurate, current, and complete information and to update it as needed.
• Use the Services only for lawful purposes and in accordance with these Terms and applicable laws.
• Not misrepresent your identity, qualifications, or the nature of any business or job opportunity.
• Not use the Services to harass, discriminate, or harm others, or to transmit harmful, offensive, or illegal content.
• Not attempt to gain unauthorized access to our systems, other users’ accounts, or any data not intended for you.

We may suspend or terminate your access if we reasonably believe you have breached these obligations.

5. Job Seekers and Employers

Job seekers: Submitting an application or expressing interest in a role does not guarantee placement or employment. Any offer of work is between you and the employer. You are responsible for your own tax, legal, and compliance obligations related to your work.

Employers: Posting a role or requesting workers does not guarantee that we will fill the position. You are responsible for verifying candidates’ qualifications, conducting any background checks permitted by law, and complying with employment and labour laws. You are solely responsible for the terms and conditions of any employment or contract you enter into with a worker.

6. No Employment or Agency Relationship

Aquila Connections is a platform that facilitates connections between job seekers and employers. We are not an employer, staffing agency, or agent of either party unless expressly agreed in a separate written agreement. No employment, agency, or partnership relationship is created between you and Aquila Connections solely by your use of the Services.

7. Disclaimers

Our Services are provided “as is” and “as available.” We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We do not guarantee the quality, suitability, or legality of any job, candidate, or employer, and we are not responsible for the conduct of users or third parties. You use the Services at your own risk.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Aquila Connections and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use or inability to use the Services, any placements or interactions with other users, or these Terms. Our total liability for any claims arising from or related to the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim, or one hundred (100) US dollars, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Aquila Connections and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any law or the rights of a third party, or any dispute between you and another user or third party in connection with the Services.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Changes to the Services and Terms

We may change the Services or these Terms at any time. We will update the “Last updated” date when we change the Terms and encourage you to review this page periodically. Your continued use of the Services after changes constitutes acceptance of the new Terms. If you do not agree, you must stop using the Services.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Philippines, to the extent permitted by applicable law.

13. General

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not waive that right or provision. These Terms, together with our Privacy Policy and any other policies we publish, constitute the entire agreement between you and Aquila Connections regarding the Services.
